The following terms (“Affiliate Terms”) constitute an agreement between Bald Guy Studio, LLC (“Bald Guy Studio” or “we”) and you (“Affiliate” or “you”) that governs your participation in Bald Guy Studio’s Affiliate Program (“Program”).

1. Overview. This Agreement contains the complete terms and conditions that apply to you as an affiliate in the Program.
2. Affiliate Content
   1. We reserve the right to reject or cancel your affiliate relationship in our sole discretion. We may cancel your application if we determine that your personal brand is unsuitable for our Program, including if it:
      1. promotes sexually explicit materials, violence, discrimination, or illegal activities;
      2. incorporates any materials which infringe or assist others to infringe on any copyright, trademark or other intellectual property rights or to violate the law;
      3. is otherwise in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable to us in our sole discretion; and,
      4. fails to abide by FTC rules related to disclosure.
   2. It is your responsibility to follow all applicable laws, including those related to intellectual property, that may pertain to your site. You agree to hold us harmless for any claims made against us related to your failure to follow applicable laws
3. Bald Guy Studio’s Rights and Obligations
   1. We have the right to monitor your site, any social media channels, newsletters, or other channels at any time to determine if you are following the terms and conditions of this Agreement as it relates to your promotion of the Program. We may notify you of any needed changes to your promotions, as it relates to the Program, that we feel should be made. If you do not make the changes to your promotion that we feel are necessary, we reserve the right to terminate your participation in the Program.
   2. We reserve the right to terminate this Agreement and your participation in the Program immediately and without notice to you in its sole discretion.
4. Term. This Agreement will begin upon our acceptance of your Affiliate application and will continue unless terminated hereunder.
5. Termination. Either you or we may end this Agreement AT ANY TIME, with or without cause, by giving the other party written notice. Written notice to us can be in the form an email addressed to ch***@***********io.com. Written notice to you will be in the form of an email sent to the email address we have on record.

In addition, this Agreement will terminate immediately upon any breach of this Agreement by you.

In the event that this Agreement is terminated due to your fraudulent activity, prohibited promotion activities (defined below), or abuse of the Program, we shall not be liable to you for any commissions pending as a result of such actions.

1. Modification. We may modify any of the terms and conditions in this Agreement at any time at our sole discretion. In such event, you will be notified of any substantive changes by email through the email address we have on record.
2. Qualification for Referrals. As an affiliate, you will refer clients to purchase Bald Guy Studio’s training packages. We will confirm referral source with all clients. Affiliates conducting direct sales will receive a 20% commission on the total package price for all identifiable sales of the design packages. Influencers who send out emails or mention the program(s) in other venues will be paid a flat fee of $100 per identifiable sale.
3. Payment. If the individual you have referred purchases services from us, you will receive a one-time referral fee of 20% of the package price, exclusive of reimbursement for any expenses.

We will notify you that such payment is due. We will issue payment for referral fees via PayPal within thirty (30) days of receipt of payment from the purchaser.

1. Promotion Restrictions.
   1. Any spam or unsolicited commercial messaging promoting the Program is prohibited.
   2. At all times, you must clearly represent yourself and your business as independent from Bald Guy Studio and fully disclose your status as an Affiliate.
   3. You may not engage in Pay-Per-Click campaigns on keywords such as Bald Guy Studio’s name, Bald Guy Studio’s URL, and/or any misspellings or similar alterations of these – be it separately or in combination with other keywords.
2. Grant of Licenses. We grant to you a non-exclusive, non-transferable, revocable right to, solely in connection with the Program, use our logos, trade names, trademarks, and similar identifying material (collectively, the “Licensed Materials”) that we provide to you or authorize for the purpose of promoting the Program. You are only entitled to use the Licensed Materials to the extent that you are a member in good standing of the Program.

From time to time, we may provide you with promotional materials or other creative assets which may be used in promotion of the Program. All such materials are the property of Bald Guy Studio and will be considered Licensed Materials and are subject to the same rights and licenses described herein.

You agree that all uses of the Licensed Materials will be on behalf of us and the goodwill associated therewith will inure to the sole benefit of us. Additionally, you agree not to use the Licensed Materials in any manner that is disparaging, misleading, obscene, or portrays us in a negative light.

1. Disclaimer. WE MAKE NO EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES REGARDING OUR SERVICES, ANY IMPLIED WARRANTIES OF OUR ABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT ARE EXPRESSLY DISCLAIMED AND EXCLUDED.
2. Affiliate Representations and Warranties. You represent and warrant that:
   1. You have the full right, power, and authority to enter and be bound by the terms and conditions of this Agreement and to perform your obligations under this Agreement without the approval or consent of any other party; and,
   2. You have sufficient right, title, and interest in and to the rights granted to us in this Agreement.
3. Limitations of Liability. WE WILL NOT BE LIABLE TO YOU WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT UNDER ANY CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE OR GOODWILL OR ANTICIPATED PROFITS OR LOST BUSINESS), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THIS AGREEMENT, IN NO EVENT SHALL OUR CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER BASED IN CONTRACT, NEGLIGENCE, STRICT LIABILITY, TORT OR OTHER LEGAL OR EQUITABLE THEORY, EXCEED THE TOTAL COMMISSION FEES PAID TO YOU UNDER THIS AGREEMENT.
4. Indemnification. You hereby agree to indemnify and hold harmless Bald Guy Studio, and its subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) (any or all of the foregoing hereinafter referred to as “Losses”) insofar as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim that our use of the your trademarks infringes on any trademark, trade name, service mark, copyright, license, intellectual property, or other proprietary right of any third party, (ii) any misrepresentation of a representation or warranty or breach of a covenant and agreement made by you herein, (iii) any breach of this agreement made by you, or (iv) any claim related to your site, including, without limitation, content therein not attributable to us.
5. Confidentiality. All confidential information disclosed by one party to the other during the effective term of this Agreement that is marked “Confidential,” will remain the sole property of the disclosing party, and each party will keep in confidence and not use or disclose such proprietary information of the other party without express written permission of the disclosing party.

From time to time, we will disclose upcoming promotions, which may include discounts that are not yet available to the public. Affiliate agrees to keep this information confidential until such time when we approve disclosure of this information to the public.

1. Miscellaneous
   1. You agree that you are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and us. You will have no authority to make or accept any offers or representations on our behalf.
   2. You may not assign your rights or obligations under this Agreement to any party, without express written consent from us.
   3. This Agreement shall be governed by and interpreted in accordance with the laws of the State of Virginia without regard to the conflicts of laws and principles thereof. If there is any dispute arising from the Agreement, you agree to personal jurisdiction and venue in the State and Federal courts of the United States located in the State of Virginia, Albemarle County.
   4. You may not amend or waive any provision of this Agreement unless in writing and signed by both parties.
   5. This Agreement represents the entire agreement between us and you and shall supersede all prior agreements and communications of the parties, oral or written.
   6. If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary such that the intent of the parties is effectuated, and the remainder of this agreement shall have full force and effect.
